This is a brand new system. I am running the UBCD. I have run the CPU Test and have replaced the CPU. I now suspect the motherboard but need to prove it...anyone have a tool that can do that??

Yeah, would definitely run memtest86, I've had much
better luck with it than any other memory test
utility. It's on the UBCD.
I believe there was also a CPU test utility, but don't
remember the name right off the top of my head.
